Matthew St. Louis is a business and transactional lawyer concentrating his practice in four areas: general business law, international business law and transactions, regulated industry matters (including banking and securities laws) and business transactions, including mergers and acquisitions and financing transactions. He has advised clients ranging from small private companies up to large public companies on matters as varied as S.E.C. compliance and international mergers and acquisitions to purchasing contracts, shareholder disputes and tax planning for closely held businesses. He is also a frequent speaker for continuing legal education programs on corporate and limited liability company topics.
Experience:
Matthew St. Louis has represented businesses in a wide variety of general corporate and contract matters. These have included negotiating and reviewing sales and supply contracts, organizing new business entities, advising on entity ownership questions, and representing management of companies in business succession planning contexts.
Mr. St. Louis has also advised business clients on a variety of business law and transactional issues. He has previously advised business regarding state and federal securities laws applicable to public and private companies, NASDAQ and New York Stock Exchange rules, general corporate, contract compliance, professional licensing, banking and finance matters. He has led teams that represented borrowers in financing transactions with banks and nontraditional lenders, including secured credit facilities of up to $200.0 million and participated in public and private securities offerings of up to $275.0 million. He has developed corporate and other organizational structures for businesses with multiple operating subsidiaries; negotiated spin-off, merger, acquisition and consolidation transactions for private and public companies. His experience also includes the coordination of transaction-specific and ongoing regulatory requirements for businesses in the insurance, gaming and banking industries.
